1. Acceptance of Terms

These Terms & Conditions ("Terms") govern your use of the Surat Diesels Group website and your communications with Surat Diesels Group and its group companies through WhatsApp, including the WhatsApp Business Platform (WhatsApp Business API / Cloud API). By using our website, contacting us, opting in to our WhatsApp messages or messaging our WhatsApp Business number, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use our website or WhatsApp services.

2. About Us

"Surat Diesels Group", "we", "us" or "our" refers to Surat Diesels Group, Block 160/A/2/1, Behind Bhagwati Complex, Opp. CNG Gas Station, Kadodara – 394327, Surat, Gujarat, India, and its group companies: Surat Diesels, Sparex Automotive, Fastec Lubes Pvt Ltd, Vinayak Corporation, Vaishali Transport, Radhe Associates, Suvarna Multi Venture Pvt Ltd, Vision Eye Care and Cure Spects. Where you deal with a specific group company, that company is the contracting party for your transaction.

3. Use of the Website

• This website is informative. Content is provided for general information about our group and businesses and may change without notice.
• You agree to use the website only for lawful purposes and not to attempt to gain unauthorised access, introduce malicious code, scrape content at scale, or interfere with its operation.
• Information you submit through our contact form must be accurate and must belong to you or be submitted with the owner's permission.

4. WhatsApp Business Services

We use the WhatsApp Business Platform, provided by Meta Platforms, Inc. and its affiliates ("Meta"), to:

• answer enquiries and provide product information, catalogues, quotations and price lists;
• send order confirmations, invoices, dispatch and delivery updates, and payment reminders;
• send appointment confirmations and reminders for our healthcare businesses;
• send one-time verification codes where needed;
• send promotional messages, offers and new product information, only to users who have opted in to receive them;
• provide customer support, including through automated replies and our staff.

Your use of WhatsApp itself is also subject to WhatsApp's own Terms of Service and Privacy Policy. We are not responsible for the availability, performance or policies of WhatsApp or Meta.

5. Consent & Opt-in

• We send business-initiated WhatsApp messages only to people who have opted in. You may opt in by ticking the WhatsApp consent box on our website, by messaging our WhatsApp Business number, by agreeing in an order, registration or enquiry form, or by giving consent to our staff.
• By opting in, you confirm that the WhatsApp number you provide belongs to you or that you are authorised to give consent for it, and you agree to receive messages from Surat Diesels Group and its group companies of the types described in Section 4.
• Standard data or internet charges from your mobile operator may apply. We do not charge you for receiving WhatsApp messages from us.

6. Opt-out

You may stop receiving WhatsApp messages from us at any time by:

• replying STOP or "Unsubscribe" to any of our messages;
• blocking or reporting our number in WhatsApp; or
• contacting us at manager@suratdiesels.com or +91 98792 07602.

We will process your opt-out promptly. After opting out, you may still receive a single confirmation of your opt-out, and messages strictly necessary to complete an order or service already in progress. You can opt in again by sending START or messaging us.

7. Acceptable Use on WhatsApp

When communicating with us on WhatsApp, you agree not to:

• send unlawful, abusive, threatening, defamatory, obscene or harassing content;
• send spam, malware, viruses or links intended to harm our systems or staff;
• impersonate any person or business, or provide false information;
• share sensitive data such as passwords, OTPs, bank PINs or full card numbers;
• use our WhatsApp number for any purpose unrelated to our products and services.

We may stop responding to, block or report users who breach these rules.

8. Orders, Quotations & Pricing

• Prices, stock and product details shared on our website or on WhatsApp are indicative and subject to change without notice until confirmed in writing.
• Quotations are valid for the period stated in them, or 7 days if no period is stated.
• All prices are subject to applicable taxes (including GST), freight and other charges unless stated otherwise.
• Orders are subject to acceptance and availability. We may decline or cancel an order in case of pricing errors, stock unavailability or suspected misuse, and will refund any amount paid for a cancelled order.
• Delivery timelines are estimates. Delays caused by transporters, weather, strikes or events beyond our control will not make us liable.
• Returns and replacements are accepted only as per the applicable group company's return policy and the manufacturer's policy, and generally require the original invoice and undamaged packaging. Electrical parts and special-order European parts may not be returnable unless defective.

9. Product Information & Warranty

Surat Diesels is an authorised distributor of brands including BOSCH, ZF, MOTHERSON, ENI, LUMAX, TALBROS, ZIP DEPO and SUPRATECH. Sparex Automotive supplies parts for European cars, and Fastec Lubes Pvt Ltd manufactures automotive and industrial lubricants. Product warranties are provided by the respective manufacturer as per their terms. It is the customer's responsibility to confirm part compatibility before fitment; we are happy to help verify fitment if you share accurate vehicle details. Brand names and logos belong to their respective owners.

10. Payments

Payment terms will be as stated in the quotation, order confirmation or invoice. Payment links or bank details sent to you on WhatsApp will only come from our official verified WhatsApp Business number. If you receive payment requests from any other number claiming to be us, do not pay and inform us immediately. We are not responsible for payments made to unauthorised accounts.

11. Intellectual Property

All content on this website, including text, design, graphics and the Surat Diesels Group name and logo, is owned by or licensed to Surat Diesels Group. You may not copy, reproduce or use it for commercial purposes without our written permission. Third-party brand names, trademarks, certificates and logos displayed belong to their respective owners and are shown only to indicate our authorised distribution relationship.

12. Third-Party Services

Our services rely on third-party platforms such as WhatsApp/Meta, Google Maps, payment gateways and transport partners. We are not responsible for their services, outages, content or policies. Your use of those services is governed by their own terms.

13. Disclaimer

The website and WhatsApp communications are provided on an "as is" and "as available" basis. While we try to keep information accurate and up to date, we do not warrant that it is complete, error-free or that the website or WhatsApp services will be uninterrupted. Health-related information shared by our eye care businesses over WhatsApp is general in nature and does not replace an in-person examination by a qualified professional.

14. Limitation of Liability

To the maximum extent permitted by law, Surat Diesels Group and its group companies will not be liable for any indirect, incidental, special or consequential loss, including loss of profit, business or data, arising from your use of the website or WhatsApp services, delays or failures in message delivery, or reliance on information provided. Our total liability for any claim relating to a transaction will not exceed the amount paid by you for the relevant product or service.

15. Indemnity

You agree to indemnify Surat Diesels Group and its group companies against any claims, losses or expenses arising from your breach of these Terms, misuse of our website or WhatsApp services, or violation of any law or third-party rights.

16. Suspension & Termination

We may suspend or stop providing WhatsApp communications or website access to any user who breaches these Terms, WhatsApp's policies or applicable law, without prior notice. We may also discontinue our WhatsApp Business service at any time.

17. Governing Law & Jurisdiction

These Terms are governed by the laws of India. Any dispute arising from these Terms, our website or our WhatsApp services shall be subject to the exclusive jurisdiction of the courts at Surat, Gujarat, India.

18. Changes to these Terms

We may update these Terms from time to time, including to reflect changes to WhatsApp's Business policies. The updated Terms will be posted on this page with a revised "Last updated" date. Your continued use of our website or WhatsApp services after changes are posted means you accept the updated Terms.
